HYDERABAD: Maytas Infra Ltd has roped in West Asia's Saudi BinLadin Group (SBG) owned by family members of terrorist Osama bin Laden as its strategic investor, the infrastructure development and management company said on Saturday.
The Jeddah-headquartered $ 5billion SBG, a general contracting company, will pick up 20 per cent stake in Maytas for an undisclosed sum after receiving requisite regulatory approvals, the Hyderabad-based firm's board of directors decided at a meeting in Mumbai on Saturday.
SBG, founded by Osama's father Mohammed Bin Laden in 1931, is the holding company of the assets owned by the terrorist's family. It has presence in several areas including public buildings and airports, infrastructure, mining, petrochemicals, telecommunications, power and construction. Post 9/11, the family disowned Osama, and the group is currently run by his halfbrother Bakr bin Laden.
The Maytas board of directors, at their meeting, approved the proposal to allot 15.45 million shares (20 per cent stake) of the paidup equity share capital on a preferential allotment basis to SBG. The company said the price for the preferential allotment would be in accordance with Sebi regulations.
The allotment makes SBG a co-promoter of Maytas alongside Infrastructure Leasing Financial Services (IL FS), which holds 37.1 per cent stake in the company. Maytas founder B Teja Raju and his family have 23 per cent stake, while the remaining 40 per cent is with financial institutions and public. Sebi norms prescribe IL FS has to hold a minimum of 26 per cent until next year, while Rajus have a lock-in period till this October.
The induction of SBG as an investor may see IL FS shareholding reduce from the current 37.1 per cent.
"The investor and the promoters would be undertaking a mandatory public offer in accordance with Sebi's Substantial Acquisition of Shares and Takeover) Regulations, 1997," Maytas said in a statement.
The company registered revenues of Rs 223.69 crore for the quarter ending June 2009 with a net loss of Rs 16.28 crore. Maytas Infra's scrip closed at Rs 216.25 on Friday. Its net worth declined to Rs 163.19 crore for the year ended March 31, 2009 as against Rs 652.84 crore recorded the previous year.
As of July 2009, Maytas, had liabilities of Rs 1,700 crore with banks and Rs 750 crore with vendors. Following the SatyamMaytas episode, Maytas lost projects worth Rs 3,800 crore, while Rs 495 crore worth bank guarantees were invoked. It had lost several of the bigticket projects including the Rs 12,132 crore Hyderabad Metro Rail Project and the Rs 1,600 crore Machilipatnam seaport project.
